Acceptance of Terms
By accessing and using the services provided by BrightConsortium B.V. ("we", "our", or "us"), you ("you" or "client") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BrightConsortium B.V., a company registered in the Netherlands under registration number NL56473822.

We provide the following services to our clients:

Detailed service specifications, deliverables, timelines, and pricing are outlined in individual service agreements or project proposals provided to each client.
User Obligations
By using our services, you agree to:
- Provide accurate, complete, and up-to-date information when requested
- Cooperate fully with our team and provide necessary access, information, and resources for project completion
- Use our services only for lawful purposes and in accordance with applicable laws and regulations
- Not interfere with or disrupt our services or servers
- Maintain the confidentiality of any login credentials or access information provided
- Pay all fees and charges in accordance with the agreed payment terms
- Comply with all applicable data protection and privacy laws
- Not use our services to transmit harmful, illegal, or inappropriate content
You are responsible for ensuring that your use of our services complies with all applicable laws in your jurisdiction.
Payment Terms
Payment terms are specified in individual service agreements or invoices. Unless otherwise agreed in writing:
- All fees are quoted and payable in Euros (EUR)
- Payment is due within 30 days of invoice date unless otherwise specified
- Late payment may result in suspension of services and additional charges
- All prices are exclusive of VAT unless explicitly stated otherwise
- Refunds are subject to the terms outlined in individual service agreements
Intellectual Property
All intellectual property rights in our services, website, documentation, and materials remain the property of BrightConsortium B.V. or our licensors. This includes but is not limited to:
- Copyrights in our website content, documentation, and marketing materials
- Trademarks, service marks, and trade names
- Proprietary methodologies, frameworks, and processes
- Software, tools, and technical solutions developed by us
You may not reproduce, distribute, modify, or create derivative works from our intellectual property without explicit written permission. Any custom work created specifically for your project will be governed by the terms outlined in your service agreement.
You retain all rights to your business data, content, and intellectual property that you provide to us for the purpose of delivering our services.
Confidentiality
We understand that you may share confidential information with us during the course of our business relationship. We commit to:
- Keep all client information confidential and secure
- Use confidential information solely for the purpose of delivering our services
- Not disclose confidential information to third parties without your consent
- Implement appropriate security measures to protect your information
This confidentiality obligation survives the termination of our business relationship and continues indefinitely unless the information becomes publicly available through no fault of ours.
Limitation of Liability
To the maximum extent permitted by applicable law, BrightConsortium B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.
Our total liability to you for any claims arising from our services shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.
We provide our services on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or completeness of our services.
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labour disputes, or technical failures.
In such circumstances, we will make reasonable efforts to mitigate the impact and resume normal service as soon as practicable.
Termination
Either party may terminate the service relationship in accordance with the terms specified in individual service agreements. In the absence of specific termination clauses:
- Either party may terminate with 30 days' written notice
- We may terminate immediately if you breach these Terms
- You may terminate immediately if we materially breach our obligations
- All outstanding fees become due immediately upon termination
Upon termination, we will cease providing services and, upon request, return or destroy your confidential information in accordance with our data retention policies.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
Before initiating any legal proceedings, we encourage parties to attempt to resolve disputes through good faith negotiations or alternative dispute resolution methods.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of our services.

Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
These Terms of Service constitute the entire agreement between you and BrightConsortium B.V. regarding the use of our services, superseding any prior agreements or understandings, whether written or oral.
